1400 Toastmaster Drive, Elgin, Illinois 60120 (847) 741-3300 www.middleby.com April 21, 2021 Dear Middleby Employees, Today Middleby and Welbilt announced that they have entered into a definitive agreement whereby Middleby will acquire Welbilt in an all-stock merger transaction. It is an exciting day for both the Middleby and Welbilt teams as we believe there are many synergies between the operations, brands, and products. Most are familiar with Welbilt, as they offer well-established equipment and solutions for commercial kitchens with highly recognizable brand names and technologies that are complementary to our own. Brands you may recognize include Cleveland, Convotherm, Crem, Delfield, Frymaster, Garland, Kolpak, Lincoln, Manitowoc, Merco, Merrychef, and Multiplex, along with Welbilt Kitchencare and Kitchenconnect. Welbilt and Middleby have many similarities as companies, including a deep commitment to our customers and employees. We have been working with Welbilt Chief Executive Officer Bill Johnson and his team in recent weeks, and our engagement with him has heightened our enthusiasm for this merger and the future of the combined companies. The announcement today is a first step in the merger process. We expect the transaction to close late 2021, pending regulatory approvals and customary closing conditions, including approval by the shareholders of both companies. Until then, Middleby and Welbilt will continue to operate as separate companies with our responsibilities and management structures unchanged. With this, we ask our employees to continue business as usual until the transaction closes. For more information, I encourage you to view our letter and Q&A in the newsroom of middleby.com (Middleby Newsroom Link) along with the presentation on our investor page (Presentation Link). We may not have all the answers now, but the executive team will do its best to address questions as we move through this process. We would like to thank all our stakeholders for their support and unwavering commitment as we take this strategic step to improve our business for the long term. The dedication of our employees and other stakeholders continues to be instrumental in positioning Middleby for further growth. Sincerely, Timothy FitzGerald Chief Executive Officer
